African Sahara Charity Foundation requires directors, officers, employees, volunteers, advisors, consultants, and representatives to disclose actual, potential, or perceived conflicts of interest and to place the Foundation's charitable mission above personal, professional, or financial interests.
This policy protects the integrity of the Foundation’s decision-making process, promotes transparency, and helps ensure that charitable resources are used exclusively in furtherance of the Foundation’s mission.
This policy applies to all directors, officers, employees, volunteers, advisors, consultants, committee members, and representatives acting on behalf of African Sahara Charity Foundation.
Covered individuals must promptly disclose any actual, potential, or perceived conflict of interest to the Board Chair, Secretary, or other designated governance officer before participating in related discussions or decisions.
An individual with a conflict of interest shall not participate in deliberation, recommendation, approval, or voting on the related matter, except to provide factual information when requested.
The remaining disinterested decision-makers shall determine whether a conflict exists and whether the proposed action is fair, reasonable, and in the best interests of the Foundation.
All disclosures, recusals, deliberations, and decisions concerning conflicts of interest shall be documented in the official meeting minutes or other appropriate corporate records.
Directors and officers shall complete an annual conflict-of-interest disclosure statement and update it whenever relevant circumstances change.
Failure to disclose a conflict of interest or comply with this policy may result in corrective action, removal from a decision, termination of service, or other action authorized by the Board and applicable law.
